Our total liability to you for all claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve months immediately preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
Consequential Damages Exclusion
Under no circumstances shall we be liable for any damages that result from your inability to use our services, any unauthorized access to or alteration of your data, any interruption or cessation of transmission to or from our services, any bugs, viruses, or other harmful components, or any errors or omissions in content. This exclusion applies regardless of whether such liability is based on contract, tort, negligence, strict liability, or any other legal theory.
Legal Information and Dispute Resolution
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
You agree that any legal action or proceeding arising out of or related to these terms or your use of our services shall be brought exclusively in the courts of Nicosia, Cyprus. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.
Dispute Resolution Procedures
In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the nature of the dispute.
If the dispute cannot be resolved through negotiations within thirty days of the initial notice, either party may pursue mediation before resorting to litigation. The parties agree to participate in mediation in good faith with a mutually agreed-upon mediator in Cyprus.
If mediation is unsuccessful or if either party refuses to participate, either party may commence legal proceedings in accordance with the jurisdiction provisions outlined above.
Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the original provision.
Waiver and Enforcement
Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of Growth Hub.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service provider failures, or any other force majeure event. During such periods, our obligations shall be suspended for the duration of the force majeure event.
Terms Modification Policy
We reserve the right to modify these Terms and Conditions at any time at our sole discretion. Modifications become effective immediately upon posting to our website unless otherwise specified. Material changes that significantly affect your rights will be communicated through prominent notice on our website or via email if you have provided contact information.
Your continued use of our services after modifications are posted constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of our services immediately.
Entire Agreement
